Duty of Care: The duty of care requires directors to exercise the care, diligence and skill that any ordinary, prudent person would exhibit under similar circumstances. A board member who exercises the duty of care will make a reasonable and good-faith effort to: be aware of the organization's mission, plans and polices, monitor the organization's activities and ensure that the organization has sufficient resources. This also refers to the obligation to take responsible care to avoid injury to a person whom, it can be reasonably foreseen, might be injured by an act or omission.
